FORGE, Terms of Service

These Terms of Service (the "Terms") are a contract between you ("you", "Customer") and Forge AI, LLC, doing business as FORGE ("FORGE", "we", "us"). They govern your use of the FORGE service at forgeyourbusiness.ai and any related applications, dashboards, APIs, or services (collectively, the "Service"). By signing up for, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility and accounts

You must be at least 18 years old and able to enter into a binding contract. If you sign up on behalf of a business, you represent that you are authorized to bind that business. You agree to provide accurate, current account information and to keep it updated. You are responsible for activity under your account and for protecting your credentials.

2. The Service

FORGE provides AI-driven inbound and outbound voice agents, SMS handling, email automation, lead generation, customer pipeline management, and related tools. The Service is provided as software-as-a-service; we may add, change, or remove features over time. Material changes that reduce core functionality will be announced in advance.

3. Subscriptions, billing, and auto-renewal

3.1 Plans and fees

The Service is offered on subscription plans (Starter, Pro, Fleet, Enterprise), billed monthly or yearly, each with a one-time setup fee, plus optional per-seat add-ons and pay-as-you-go usage. Current pricing is on our pricing page; we may change pricing with at least 30 days' notice, which will not affect your current paid period.

3.2 Auto-renewal

Subscriptions renew automatically at the end of each billing period unless you cancel. You authorize us (through our payment processor Stripe) to charge your selected payment method for renewals, add-ons, taxes, and any usage overages.

3.3 Cancellation

You may cancel any time from your dashboard under Settings → Plan. Your Service remains active through the end of your current paid period; you will not be charged for the next period after cancellation. Cancellation does not entitle you to a refund of the unused portion of the current period.

3.4 Setup fee and the risk-free first month

Each plan has a one-time setup fee, due at signup, that covers implementation and onboarding; the setup fee is non-refundable, except where required by law or where FORGE fails to deliver a capability we expressly promised you at signup. No subscription fee is charged for the first 30 days after your setup fee is paid. If you cancel within those first 30 days, you will never be billed a subscription charge. If you do not cancel, recurring billing (monthly, or yearly if you selected the annual plan) begins automatically on day 31 and renews under Section 3.2.

3.5 Refunds

After recurring billing begins, subscription fees are non-refundable except where required by law: cancellation under Section 3.3 stops future charges but does not refund the unused portion of the current period. Downgrades prorate the credit toward your next invoice.

3.6 Failed payments

If a charge fails, we will retry on the schedule our payment processor uses and notify you. If payment remains unresolved after 10 days, we may suspend or terminate the Service. Reactivation may be subject to a fee.

3.7 Taxes

Fees do not include taxes. We will collect applicable sales tax, VAT, GST, or similar taxes through Stripe Tax where required.

4. Customer data and content

You retain ownership of all data and content you put into the Service ("Customer Data"). You grant FORGE a limited, non-exclusive license to host, process, and transmit Customer Data solely to operate, secure, and improve the Service for you. We do not sell Customer Data and do not use it to train third-party AI models without your explicit consent.

You are responsible for the lawfulness of your Customer Data, for example, that you have the right to call or text the contacts you upload, that any consent required for marketing has been obtained, and that you comply with the TCPA, A2P 10DLC, and state call-recording laws.

The Service integrates with third-party providers (Stripe, Twilio or equivalent carrier, xAI, Anthropic, Microsoft Graph, Google APIs, Cloudflare, Resend, Google Places). Your use of those services is governed by their own terms. We are not responsible for outages, errors, or policy changes of third parties.

7. AI outputs and call recording, important disclosures

The Service uses artificial intelligence to converse with callers, write summaries, score leads, and assist you with operations. AI outputs may contain errors, omissions, or hallucinations. You are responsible for reviewing AI-generated decisions before acting on them in high-stakes situations. The Service is not a substitute for licensed professionals (legal, financial, medical, or otherwise).

FORGE can record calls placed through your numbers. By default, FORGE's compliance safeguard records a call only when the contact's state on file permits recording with one-party consent; for contacts in all-party-consent states, and whenever the contact's state is unknown, recording is automatically disabled (fail-closed). A master control in your dashboard can turn recording off entirely. You remain responsible for the accuracy of your contact data (including each contact's state on file), for any configuration changes you make, and for complying with the call-recording and AI-identification laws that apply to your use of the Service.

FORGE and its licensors own the Service, including all software, designs, trademarks, and documentation. We grant you a limited, non-transferable, revocable license to use the Service per these Terms. You may not copy, modify, or create derivative works of the Service except as permitted by law.

Our handling of personal information is governed by our Privacy Policy, incorporated here by reference.

10. Disclaimers

The Service is provided "AS IS" and "AS AVAILABLE." To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing. We do not warrant that the Service will be uninterrupted, error-free, secure, or meet your requirements, nor that calls, texts, or emails will always be delivered.

11. Limitation of liability

To the maximum extent permitted by law, FORGE's total liability for any claim arising from or relating to the Service shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) one hundred U.S. dollars (US$100). FORGE shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, or data, even if advised of the possibility. Some jurisdictions do not allow these exclusions; in those jurisdictions our liability is limited to the maximum extent permitted by law.

12. Indemnification

You will defend, indemnify, and hold harmless FORGE and its officers, directors, employees, and agents from any claim, demand, loss, or expense (including reasonable attorney's fees) arising from (a) your use or misuse of the Service, (b) your Customer Data, (c) your violation of these Terms or applicable law (including TCPA, A2P 10DLC, call-recording laws), or (d) your violation of any third-party right.

13. Termination

You may terminate any time by cancelling your subscription. We may suspend or terminate the Service immediately if you violate these Terms, if a payment fails and remains unresolved, or if continuing the Service would expose us to legal or reputational risk. On termination, your right to use the Service ends. We will provide you a reasonable period (no less than 30 days) to export your Customer Data, after which we may delete it.

14. Dispute resolution and arbitration

Please read this section carefully, it affects your legal rights.

Any dispute arising from or relating to these Terms or the Service shall be resolved by binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, in St. Louis, Missouri. You and FORGE waive the right to a jury trial and to participate in any class action. Either party may bring a small-claims action in lieu of arbitration. Nothing in this section prevents either party from seeking injunctive relief in court to protect intellectual property or confidential information.

15. Governing law

These Terms are governed by the laws of the State of Missouri, without regard to its conflict-of-laws principles.

16. Changes

We may update these Terms from time to time. Material changes will be announced by email or in-app at least 14 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance.
